DigiRoll Terms of Service

These Terms of Service ("Terms") are an agreement between you and DigiHorizons, Inc. ("DigiRoll," "we," "us") for your use of the DigiRoll app and digiroll.app (the "Service"). By creating an account or using DigiRoll you agree to these Terms. If you do not agree, do not use DigiRoll.

DigiRoll is a platform that helps musicians and the people who work with them to:

• Manage and showcase their music projects
• Learn about the music industry through interactive education
• Host and participate in live studio sessions
• Connect with fans and collaborators

You must be at least 13 years old, or older if your country sets a higher age of digital consent. If you are under the age of majority where you live, you may use DigiRoll only with the permission of a parent or guardian. If we learn that an account belongs to a child under 13, we will delete it. You must give accurate information and keep your login secure. You are responsible for activity on your account.

You agree to:

• Use DigiRoll respectfully and legally
• Only access or share content you own or have the rights to
• Not use the platform to harass, impersonate, or exploit others
• Honor project visibility settings (private or public)

Your use of DigiRoll is also governed by our Acceptable Use Policy at https://digiroll.app/acceptable-use, which is part of these Terms. We do not tolerate objectionable content or abusive users. You can report content or block a user from within the app. We review reports and may remove content or suspend accounts. Contact: digiroll.app@gmail.com.

• You keep ownership of the content you upload ("Your Content"). DigiRoll does not claim ownership of it.
• You grant DigiHorizons, Inc. a limited, worldwide, non-exclusive, revocable, royalty-free license to host, store, cache, transcode, display, and make Your Content available, according to your visibility settings, and to process it technically through vendors acting on our behalf, solely as needed to operate, secure, and improve DigiRoll. This license ends when you delete the content or your account, except for cached or backup copies for a reasonable period and copies we must keep by law.
• You promise that you own Your Content or have every permission needed to post it, and that it does not infringe anyone's rights.
• You may not copy, redistribute, or modify other people's content without permission.
• DigiRoll's Artist Ownership & IP Statement (in the app under Settings > Legal & Policies) summarizes these terms in plain language. If it conflicts with these Terms, these Terms control.
• DigiRoll, its logos, software, and design belong to DigiHorizons, Inc. and its licensors. These Terms do not give you any rights in them except to use the Service.

We respond to notices of alleged copyright infringement under our Copyright & Takedown Policy at https://digiroll.app/copyright. We terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

• Projects can be marked Private (viewable only to you or selected users) or Public (visible on the Explore page).
• You are responsible for choosing your visibility settings when uploading or editing content.

• You will only see content you are permitted to see.
• We may suspend accounts that violate these Terms or misuse the platform.
• We may change, add, or remove features at any time.

DigiRoll may show ads to free-tier users. Ads are provided by third parties, including Google. We do not control or endorse advertisers. Where required, we ask for your consent before showing personalized ads, and you can change your choices in Settings > Privacy. See our Privacy Policy at https://digiroll.app/privacy-policy.

Paid DigiRoll subscriptions are purchased through Apple's App Store. Apple, not DigiRoll, handles billing, renewals, cancellations, and refunds, under Apple's terms. Manage or cancel a subscription in your Apple ID settings.

If we sell event tickets or other items directly in the app, the price, fees, and refund terms are shown at checkout, and payments are processed by Stripe or Apple.

Quests, XP, badges, and rewards have no cash value unless we say so in writing. We may correct, withhold, or reverse rewards that were earned through fraud, abuse, or error, and we may change or end Quests at any time.

DigiRoll's Legal / Agreements features help you organize documents such as split sheets, releases, and review packets. DigiRoll is not a law firm and does not provide legal advice. Using these tools does not create an attorney-client relationship. Lawyers and other providers who appear in DigiRoll are independent third parties, and you deal with them at your own risk.

DigiRoll works with third-party services such as Microsoft, Google, Apple, and Stripe. Your use of them is subject to their own terms. We are not responsible for third-party services or content.

DigiRoll is provided "as is" and "as available." To the fullest extent the law allows, DigiHorizons, Inc. disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will be uninterrupted or error-free, or that your data will never be lost. We are not responsible for content posted by users or third parties.

To the fullest extent the law allows, DigiHorizons, Inc. and its affiliates, officers, and employees are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability to you for any claim related to DigiRoll will not exceed the greater of the amount you paid us in the 12 months before the claim or US$100. Some places do not allow these limits, so they may not apply to you.

You agree to defend and indemnify DigiHorizons, Inc. against claims, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your violation of these Terms, or your violation of another person's rights, to the extent allowed by law.

You may delete your account at any time in the app under Settings > Delete Account. We may suspend or terminate your account or remove content if you breach these Terms or the Acceptable Use Policy, or to protect DigiRoll or others. Sections that by their nature should survive termination will survive.

Our Privacy Policy at https://digiroll.app/privacy-policy explains how we collect and use your information.

We may update these Terms. If we make material changes, we will update the date above and, where appropriate, notify you in the app. Continued use after changes take effect means you accept them.

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in New London County, Connecticut, except where local law gives you the right to bring it elsewhere.

If you use DigiRoll on an Apple device, Apple is not a party to these Terms and has no obligation to provide support or maintenance for the app. Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the app on an Apple device and may enforce them against you.
